• Guest Room Management Systems (GRMS)

• Engineering design, supply, installation, and related services

All project-specific scope, specifications, and deliverables shall be defined in the relevant quotation, proposal, or agreement issued by GS.

3. Quotations & Orders

• All quotations are valid for the period stated therein.

• Orders are considered confirmed upon written acceptance (e.g., Purchase Order or email confirmation).

• Any changes to scope, specifications, or quantities may result in adjustments to pricing, lead time, and delivery.

4. Pricing & Payment Terms

• Prices are exclusive of GST unless otherwise stated.

• Payment terms will be specified in the quotation or invoice.

• GS reserves the right to:

  • Suspend work or delivery for overdue payments

  • Charge interest on late payments

• Ownership of goods remains with GS until full payment is received.

5. Delivery & Lead Time

• Lead times are estimates and subject to change based on material availability, logistics, and project conditions.

• GS shall not be liable for delays caused by factors beyond our control, including but not limited to:

  • Supply chain disruptions

  • Shipping delays

  • Regulatory approvals

6. Installation & Site Conditions

• Where installation services are included:

  • The client is responsible for ensuring:

    • Site readiness

    • Adequate power supply and infrastructure

    • Safe and unrestricted access

  • GS shall not be liable for delays or additional costs arising from:

    • Incomplete site conditions

    • Third-party contractors

  Unforeseen site constraints

7. Project Acceptance

• Works shall be deemed completed upon:

  • Installation and commissioning, or

  • No written defects reported within a reasonable period after completion

• Minor defects that do not affect functionality shall not delay acceptance.

8. Warranty

Products are covered under the respective manufacturer’s warranty.

• GS provides a limited warranty on installation workmanship, where applicable.

• Warranty does not cover:

  • Misuse or improper operation

  • Unauthorized modifications

  • External factors beyond GS control

9. Limitation of Liability

To the maximum extent permitted by law:

• GS’s total liability shall not exceed the total value of the relevant contract or services provided.

• GS shall not be liable for:

  • Indirect or consequential losses

  • Loss of profit, revenue, or business

  • Business interruption

10. Intellectual Property

• All designs, drawings, proposals, and technical materials remain the intellectual property of GS unless otherwise agreed.

• Clients are granted a non-transferable right to use such materials solely for the intended project upon full payment.

11. Website Use

• GS does not guarantee completeness or accuracy of website content.

• Unauthorized use, reproduction, or distribution is prohibited.

12. Force Majeure

GS shall not be liable for failure or delay in performance due to events beyond reasonable control, including but not limited to:

These Terms shall be governed by and construed in accordance with the laws of Singapore.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
